By accepting a quotation, instructing SkyCam to proceed, making any payment, or allowing the Services to commence, you agree to be bound by these Terms and Conditions.
Client means the person or organisation instructing SkyCam. Content means all photographs, video, maps, models, reports and other material produced during the Services. Fees means the charges set out in the quotation. Pilot Operator means SkyCam, an authorised franchisee, subcontractor or appointed remote pilot carrying out the Services. Services means the aerial photography, videography, inspection, surveying, mapping, thermal imaging or other services described in the quotation. SkyCam means The AeroSector Group Ltd trading as SkyCam, including its authorised franchisees, employees and contractors where appropriate.
SkyCam provides professional drone imaging services throughout the UK. Services may be delivered by an authorised franchisee or an approved subcontractor. The contract is always between the Client and SkyCam. Nothing in these Terms creates a contractual relationship with an individual Operator.
A contract is formed when the Client accepts a quotation, instructs SkyCam to proceed, pays a deposit or allows work to commence. These Terms apply to all Services unless otherwise agreed in writing. Where there is any conflict between these Terms and the quotation, the quotation shall prevail.
SkyCam will provide the Services described in the quotation using reasonable care and skill. Any change requested by the Client may result in revised Fees, timescales or both. Unless expressly agreed otherwise, delivery dates are estimates only.
Quotations remain valid for 30 days unless stated otherwise and are based on information supplied by the Client. If the scope of work, site conditions, access arrangements or regulatory requirements change, SkyCam may revise the quotation before the Services commence.
A deposit may be required to secure a booking. Unless otherwise agreed:
SkyCam may suspend Services where payment remains outstanding. Interest may be charged on overdue accounts at 8% above the Bank of England Base Rate together with any statutory recovery costs. Invoice queries must be raised within five (5) working days. Undisputed amounts remain payable.
The Client confirms they have authority to instruct SkyCam, and:
SkyCam is not responsible for delays or additional costs arising from inaccurate information, restricted access or Client instructions.
The Client is responsible for obtaining all permissions, approvals and access rights required for the Services, including landowner consent, take-off and landing permission and any approvals required from occupiers, tenants or event organisers. SkyCam is not liable where the Services cannot proceed because these permissions have not been obtained.
Drone operations are weather dependent. Where conditions prevent safe operation, SkyCam will endeavour to rearrange the booking. Weather postponements do not constitute cancellation and any reasonable costs already incurred may remain payable.
Safety always takes priority. The appointed Remote Pilot has absolute discretion to delay, modify or cancel any flight where, in their reasonable opinion, it would be unsafe, unlawful or impractical. This includes adverse weather, equipment issues, emergency service activity, airspace restrictions, wildlife, crowds, privacy concerns or unsafe site conditions. Such decisions shall not constitute breach of contract.
SkyCam may appoint an authorised franchisee, subcontractor or specialist Pilot Operator to carry out the Services. Operational responsibility for the safe conduct of each flight remains with the appointed Remote Pilot. SkyCam may substitute Pilot Operators where reasonably necessary without affecting this Agreement.
Deliverables will normally be supplied electronically. Minor editing and colour correction are included where appropriate. RAW files and unedited footage are not supplied unless specifically agreed. Unless otherwise agreed, SkyCam will retain project files for three (3) months after delivery.
The Client should inspect all deliverables promptly and notify SkyCam of any material defect within seven (7) days. If no notification is received, the deliverables shall be deemed accepted. Creative style, composition or artistic preference shall not, by themselves, constitute a defect where the agreed brief has been followed.
All copyright and intellectual property rights remain the property of SkyCam unless assigned in writing. Upon full payment, the Client receives a non-exclusive, non-transferable licence to use the delivered Content for the purpose described in the quotation. The Client may not sell, licence or permit third-party commercial use of the Content without SkyCam’s prior written consent.
Inspection Services are visual assessments only unless otherwise stated. SkyCam does not provide structural, engineering, architectural or surveying advice unless specifically commissioned. Drone inspections cannot guarantee that every defect will be identified. The Client remains responsible for obtaining appropriate professional advice before making repair, purchase or legal decisions.
Where delays are caused by the Client, SkyCam may charge for additional time, travel, accommodation, repeat visits, revised permissions or other reasonable costs incurred.
Bookings may be cancelled by written notice.
The Client shall also reimburse any non-recoverable costs already incurred.
SkyCam may suspend or terminate the Services where it would be unlawful or unsafe to continue; where regulatory requirements cannot be met; the Client behaves abusively or threatens staff; payment obligations have not been met. Where this occurs, SkyCam's liability shall be limited to refunding Fees paid for Services not provided.
Nothing in these Terms excludes liability where it would be unlawful to do so. Subject to this, SkyCam shall not be liable for indirect or consequential loss, including loss of profit, revenue, business, opportunity or reputation. SkyCam's total liability shall not exceed the Fees paid for the relevant Services. Where a defect is established, SkyCam may, at its option, re-perform the Services, replace the deliverables or refund the relevant Fees.
SkyCam is not liable for delay or failure caused by events beyond its reasonable control, including adverse weather, illness, equipment failure, government restrictions, CAA restrictions, industrial action or utility failure. Performance times shall be extended accordingly.
SkyCam processes personal data in accordance with applicable UK data protection legislation. Where identifiable individuals appear within commissioned Content, the Client is responsible for obtaining any permissions or consents required for its intended use.
Unless the Client has requested confidentiality in writing before the Services commence, SkyCam may use non-confidential Content for its website, portfolio, marketing, training, competitions and social media. Confidential commercial information will never be disclosed without permission.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in force. Failure to enforce any provision shall not constitute a waiver of that provision. The Client may not assign this Agreement without SkyCam's written consent. These Terms constitute the entire agreement between the parties and may only be varied in writing.
These Terms are governed by the laws of England and Wales and any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.
